Terms of Service

1. Agreement to terms

By accessing or using DineSolutions software and services provided by DineSolutions Pvt. Ltd.("Company", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

These Terms apply to all users, including restaurant owners, managers, staff, and any other individuals who access or use our services.

2. Description of services

DineSolutions provides restaurant management and point-of-sale (POS) software, including:

  • Point of Sale (POS) system for order processing
  • Kitchen Display System (KDS) for kitchen management
  • Captain ordering applications for tablets
  • QR digital menus for contactless ordering
  • Inventory management tools
  • Reporting and analytics features
  • Cloud backup and synchronisation services
  • Customer management and loyalty features

3. Account registration

To use DineSolutions, you must register for an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly update your account information as needed
  • Accept responsibility for all activity under your account
  • Notify us immediately of any unauthorised access

4. Subscription and payment

4.1 Pricing

DineSolutions is provided on a subscription basis. Plans are listed on our pricing page, and the price is shared as a quote based on your requirements. All prices are in Indian Rupees (INR) and are exclusive of applicable taxes such as GST, which are added to your invoice.

4.2 Billing

  • Monthly subscriptions are billed at the beginning of each billing period
  • Annual subscriptions are billed in full at the start of the subscription year
  • Setup fees are one-time charges payable before installation

4.3 Payment methods

We accept payment via credit and debit cards, UPI, net banking, and bank transfers for annual plans.

4.4 Late payments

If payment is not received within 7 days of the due date, we reserve the right to suspend access to the services until payment is received.

5. Licence and usage rights

5.1 Licence grant

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable licence to use DineSolutions software for your internal business operations.

5.2 Restrictions

You may not:

  • Copy, modify, or distribute the software
  • Reverse engineer, decompile, or disassemble the software
  • Sublicense, sell, or transfer the software to third parties
  • Use the software for illegal activities
  • Remove any proprietary notices or labels
  • Attempt to gain unauthorised access to our systems

6. Data ownership

You retain ownership of all data you enter into DineSolutions ("Your Data"). We do not claim ownership of Your Data.

You grant us a limited licence to:

  • Store and process Your Data to provide our services
  • Create backups for data protection
  • Use anonymised, aggregated data for service improvement and analytics

7. Service availability

We strive to maintain high availability of our services. However:

  • We do not guarantee 100% uptime and may have scheduled maintenance
  • Cloud features require internet connectivity and may be affected by network issues
  • On-premise installations depend on your local infrastructure

We will provide reasonable notice of planned maintenance and work to minimise disruption.

8. Support and updates

8.1 Technical support

Support is included with all subscription plans. Support availability and response times vary by plan tier, as detailed on our pricing page.

8.2 Software updates

We regularly release updates to improve functionality and security. Updates are included in your subscription and may be applied automatically.

9. Acceptable use

You agree not to use DineSolutions to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual-property rights
  • Transmit malicious code or interfere with our systems
  • Engage in fraudulent or deceptive practices
  • Store or process illegal content

10. Limitation of liability

To the maximum extent permitted by law, DineSolutions Pvt. Ltd. shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from service interruptions or data loss

Our total liability shall not exceed the amount paid by you for the services in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless DineSolutions Pvt. Ltd., its officers, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of the services
  • Your violation of these Terms
  • Your violation of any third-party rights

12. Termination

12.1 By you

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

12.2 By us

We may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in activities that harm our services or other users.

12.3 Effect of termination

Upon termination:

  • Your licence to use the software ends immediately
  • You may request an export of Your Data within 30 days of termination
  • We may delete Your Data after 90 days unless legally required to retain it

13. Third-party services

DineSolutions may connect with third-party services such as delivery aggregators (for example, Swiggy and Zomato), payment gateways, and messaging providers. We are not responsible for the availability, accuracy, or conduct of these third-party services, and your use of them is subject to their own terms.

14. Force majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, power or internet outages, acts of government, or disruptions to third-party services.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Governing law

These Terms are governed by the laws of India. Any disputes shall be resolved in the courts of Pune, Maharashtra, India.

17. Changes to terms

We may modify these Terms at any time. We will notify you of material changes via email or through the software. Continued use after changes constitutes acceptance of the modified Terms.
